4. Parties Covered

These Terms bind DRYVE247 LTD, a private company limited by shares incorporated under the laws of the Republic of Ghana, its operating subsidiaries, affiliates, successors, and assigns, and every natural person or corporate body that registers an Account, browses the Platform, or executes a transaction thereon.

5. Eligibility

To be eligible to access the Platform, register an Account, or enter into any transaction, you represent and warrant that:

You are at least eighteen (18) years of age if accessing the Platform generally, or at least twenty-one (21) years of age if applying to drive or rent a Vehicle (subject to specific higher age limits for premium or high-performance vehicle categories as detailed in the Vehicle Eligibility Policy);

You possess full legal capacity and power under the Companies Act, 2019 (Act 992) or the general common law of Ghana to execute legally enforceable contracts;

You are not currently subject to any civil suspension, criminal sanction, or administrative ban prohibiting you from utilizing digital mobility services or entering commercial transactions;

All information, national identification credentials, contact records, and payment instruments submitted by you are accurate, current, complete, and legally issued to your name.

6. Rights

License to Access: Subject to your strict compliance with these Terms, DRYVE247 grants you a limited, personal, non-exclusive, non-transferable, revocable license to access the Platform and view marketplace content solely for your internal personal or verified business use.

Platform Services: DRYVE247 provides technology matching services, verification screening infrastructure, integrated payment collection and payout routing, telematics tracking integration, digital condition reporting tools, and preliminary dispute resolution facilitation.

7. Responsibilities

Account Integrity: You are solely responsible for maintaining the confidentiality of your Account login credentials, multi-factor authentication tokens, and passwords. You agree to notify DRYVE247 immediately via [fraud@dryve247.com] of any unauthorized access or compromise of your Account.

True and Accurate Declarations: You must maintain current, accurate, and valid documentation across your Account profile, including valid driving licences, national identity credentials (Ghana Card for Ghanaian citizens/residents, or international passports for foreign nationals), telephone numbers, and billing details.

Good Faith Dealings: You agree to deal transparently, fairly, and professionally with other marketplace participants and DRYVE247 personnel.

8. Prohibited Conduct

You shall not, under any circumstances:

Circumvent, disable, reverse-engineer, decompile, or otherwise tamper with the Platform’s digital security, APIs, telematics tracking middleware, or verification systems;

Solicit, initiate, engage in, or encourage transactions with other Users discovered through the Platform outside of the Platform to avoid service fees, commissions, or contractual obligations (Anti-Circumvention);

Submit fraudulent identity credentials, impersonate any person or corporate entity, or utilize stolen financial payment instruments;

Utilize the Platform for money laundering, terrorist financing, prostitution, human trafficking, contraband transport, or any activity prohibited under the Criminal Offences Act, 1960 (Act 29) or applicable international criminal laws;

Deploy automated crawlers, scrapers, data-mining spiders, or bots to harvest data, contact lists, listings, or proprietary assets from the Platform.

9. Operational Procedures

Account Registration and Verification: Account creation requires multi-factor phone verification (OTP), email confirmation, submission of government identity credentials, and facial biometric liveness verification pursuant to the Identity Verification Policy.

Platform Intermediation: DRYVE247 acts solely as an intermediary technology marketplace connecting independent Hosts and Renters. DRYVE247 is not an automobile manufacturer, motor dealer, transportation carrier, taxicab operator, insurer, or financial institution.

Bilateral Contract Formation: When a Renter books a Vehicle and the Host confirms the reservation (or where an Instant Booking is generated), an enforceable bilateral contract is formed directly between the Host and the Renter, governed by the Renter Agreement, Host Agreement, and related operational policies.

10. Evidence and Documentation Requirements

All actions executed on the Platform including Account creation, listing updates, booking confirmations, message exchanges, photo uploads, check-in reports, return receipts, cancellation requests, and damage reports are recorded electronically as non-repudiable business records in compliance with the Electronic Transactions Act, 2008 (Act 772). These electronic audit logs constitute primary evidence of contractual intent and execution before Ghanaian courts and arbitral tribunals.

11. Payments and Financial Consequences

Transaction Processing: All payments, security deposits, extension fees, and post-trip adjustments are routed through payment service providers licensed by the Bank of Ghana under the Payment Systems and Services Act, 2019 (Act 987).

Platform Fees: DRYVE247 deducts non-refundable service and technology fees from each transaction, as explicitly disclosed prior to checkout or host listing confirmation.

Breach Penalties: Users who breach material provisions of these Terms including attempts to execute off-platform transactions, tampering with hardware, or submitting fraudulent claims are subject to immediate administrative penalty charges of up to GH₵ 5,000 / USD $500, account forfeiture, and referral to law enforcement agencies.

12 Independent Insurance Responsibilities

No Platform Insurance: DRYVE247 does not provide, sell, arrange, underwrite, issue or administer insurance for Hosts, Renters, Drivers or other users. It does not collect insurance premiums, enroll vehicles in a platform policy or receive insurance claim settlements for users.

Independent Host Insurance: Each Host must obtain and maintain suitable insurance directly with an independent licensed insurer. Booking, payment, verification, tracking and listing approval do not activate or guarantee cover. The actual policy and applicable law govern coverage and insurer decisions.

Contractual Breach: Prohibited vehicle use or an unauthorized driver may affect an expressly agreed Damage Waiver under Document 11. DRYVE247 cannot cancel, extend or determine independent insurance coverage. Liability remains subject to the applicable agreements, evidence and law.

13. Privacy and Data Protection

DRYVE247 collects, stores, processes, and transfers personal data strictly in compliance with the Data Protection Act, 2012 (Act 843) and international data privacy principles. The nature, scope, retention, and transfer of your personal data are exhaustively detailed in the DRYVE247 Privacy Policy (Document 24).

14. Safety Obligations

Users must prioritize human life, vehicular safety, and public order at all times. Hosts must maintain vehicles in full compliance with road safety standards under the Road Traffic Act, 2004 (Act 683) and the Road Traffic Regulations, 2012 (L.I. 2180). Renters and Approved Drivers must obey all traffic laws, speed regulations, and safety mandates.

15. Reporting Obligations

Users must immediately notify DRYVE247 of any traffic collision, physical altercation, vehicle breakdown, theft attempt, unexpected dashboard warning light, or safety concern arising during a Trip. Critical incidents must be reported through the in-app emergency protocol within two (2) hours of occurrence.

16. Disputes

Disputes between Users and DRYVE247 arising out of or in connection with these Terms shall be resolved strictly through the multi-tier procedure established in the Dispute Resolution Policy (Document 59), comprising informal customer care resolution, formal written escalation, mediation under the Alternative Dispute Resolution Act, 2010 (Act 798), and final binding arbitration seated in Accra, Ghana, subject to non-waivable statutory rights.

17. Enforcement

DRYVE247 reserves the absolute right to investigate any alleged violation of these Terms. We may examine telemetry data, review communications conducted via the Platform, audit vehicle condition photos, and coordinate with law enforcement, regulatory authorities, or financial crime investigators where appropriate.

18. Suspension and Termination

DRYVE247 may restrict, suspend, deactivate, or permanently terminate your Account immediately, without prior notice, where you commit a material breach of these Terms, engage in financial fraud, tamper with GPS tracking or vehicle safety systems, fail identity verification, or pose an imminent threat to the safety of other users or the public. Ordinary terminations shall be administered with reasonable written notice pursuant to the Account Suspension, Restriction and Termination Policy (Document 49).

19. Applicable Law

These Terms, their interpretation, validity, and enforcement, shall be governed exclusively by the substantive laws of the Republic of Ghana, without regard to choice of law or conflict of laws principles.

20. International Users

If you access or use the Platform from outside the Republic of Ghana, you remain bound by these Terms and the Governing Law and International Users Addendum (Document 60). You are solely responsible for ensuring your use of the Platform complies with the local laws of your jurisdiction, to the extent such laws are mandatory and applicable.

21. Amendments

DRYVE247 reserves the right to amend, update, or replace these Terms at any time. When material modifications are enacted, we will update the "Last Revised" date and notify you via email, SMS, or a prominent in-app notification at least fourteen (14) days prior to the effective date. Your continued access to or use of the Platform after such effective date constitutes your affirmative acceptance of the revised Terms.

22. Severability

If any provision of these Terms is determined by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, void, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
