1. Purpose
This Host Agreement ("Agreement") sets forth the contractual terms under which an individual vehicle owner or authorized legal custodian ("Host", "you", or "your") registers, lists, and shares motor vehicles on the DRYVE247 Platform. DRYVE247 LTD acts as the intermediary technology provider, marketplace administrator, and limited commercial collection agent.
2. Scope
This Agreement governs all aspects of the Host’s relationship with DRYVE247, including vehicle onboarding, identity and title verification, maintenance standards, pricing, payout schedules, check-in and check-out duties, damage reporting, and claims cooperation.
3. Definitions
All capitalized terms not defined herein shall bear the meanings set forth in Document 1 and Document 2.
"Earnings" means the net financial amount payable to a Host for completed Bookings, calculated as Gross Rental Fees less DRYVE247 Platform Commission, processing fees, and statutory withholding taxes where applicable.
"Damage Waiver" means an expressly accepted contractual restriction on the Host's recovery of specified damage charges from the Renter under Document 11. It does not provide insurance, reimbursement or secondary payment by DRYVE247 and does not bind an insurer or third-party claimant.
"Unavailability Penalty" means an administrative fee levied against a Host for cancelling confirmed reservations without lawful justification.
4. Parties Covered
This Agreement is entered into between DRYVE247 LTD and the registered Host. If the Host lists vehicles through an agent, manager, or fleet caretaker, the Host remains primarily, strictly, and vicariously liable for all acts and omissions of such representative.
5. Eligibility
To qualify as a Host on the Platform, you must:
Be at least twenty-one (21) years of age and possess full legal capacity to contract under the Companies Act, 2019 (Act 992) or general law;
Be the registered owner of the Vehicle as shown on the official DVLA Certificate of Title (Form C), or possess an authentic, verified Host Authority / Power-to-List Form (Document 69) executed by the lawful owner;
Hold an active Tax Identification Number (TIN) or Ghana Card PIN issued by the Ghana Revenue Authority (GRA);
Maintain a verified bank account with a Bank of Ghana-licensed commercial bank or an authorized Mobile Money merchant wallet registered in your legal name.
6. Rights
Marketplace Exposure: The Host is entitled to showcase eligible Vehicles to verified prospective Renters on the Platform.
Payout Entitlement: The Host has the contractual right to receive prompt disbursement of Earnings for completed, non-disputed Bookings in accordance with the Host Payout Terms (Document 19).
Vehicle Rejection: The Host has the right to refuse handover of the Vehicle at the point of check-in if the Renter does not match their verified profile, appears intoxicated, lacks a physical original driver's licence, or presents an immediate safety risk.
7. Responsibilities
Roadworthiness and Maintenance: You must ensure that every listed Vehicle is maintained in a pristine, roadworthy, and safe mechanical condition. You must service the vehicle regularly, replace worn brake pads, ensure tyres have a minimum tread depth of 2.0 mm across the entire contact surface, verify all safety belts function, and maintain all indicator lights, headlights, and windscreen wipers in operating order.
Statutory Documentation: You must ensure that the Vehicle displays a valid, current DVLA Roadworthiness Certificate disc and an active Motor Insurance sticker on the windscreen at all times.
Platform Calendar Accuracy: You must maintain an accurate vehicle availability calendar. Cancelling a confirmed booking causes severe traveler disruption and triggers financial cancellation penalties.
GPS Tracker Preservation: You must permit and facilitate the installation of an approved DRYVE247 4G GPS tracking and telematics unit, and refrain from tampering with, unhooking, or obstructing said hardware.
8. Prohibited Conduct
The Host shall NOT:
List any Vehicle that has an uninspected mechanical defect, open safety recall, compromised brake system, bald tyres, structural frame damage, or expired roadworthiness certification;
Solicit, entice, or negotiate with any Renter discovered through the Platform to transact off-platform using cash, direct bank transfer, or third-party payment rails;
Cancel a confirmed reservation to secure a higher-paying booking or for discriminatory reasons prohibited under Article 17 of the 1992 Constitution of Ghana;
Install secret audiovisual recording devices, cameras, or audio bugs inside the passenger compartment of the Vehicle (all outward-facing dashcams must be disclosed in the public listing);
Intentionally misrepresent the model, year, trim level, transmission, air conditioning functionality, or condition of the Vehicle.
9. Operational Procedures
Listing and Approval: The Host submits vehicle details, VIN, DVLA registration documents, insurance certificates, and sixteen (16) interior/exterior photos. DRYVE247 conducts automated and manual vetting before publishing the listing.
Handover Protocol: The Host (or authorized agent) must meet the verified Renter in person, verify the Renter’s physical original driving licence against the app verification badge, conduct the pre-trip walkthrough, and ensure all Check-In photos are uploaded and approved in the app prior to surrendering keys.
Return Inspection: Upon return, the Host must inspect the Vehicle within two (2) hours of physical return, review the fuel level and mileage, inspect for any new scratches, dents, or interior stains, and complete the digital Check-Out report.
10. Evidence and Documentation Requirements
A Host claim for damage, excess mileage, fuel shortage or cleaning charges must be supported by the required timestamped condition evidence. No sufficient evidence, no renter damage charge. DRYVE247 administers the contractual dispute and any authorized payment only; it does not guarantee recovery or compensate the Host from platform funds.
11. Payments and Financial Consequences
Commission Deductions: DRYVE247 deducts an agreed platform commission of 15% from the gross booking fee for intermediation, platform technology, payment gateway integration, telematics hosting, and marketing.
Unjustified Host Cancellation: If a Host cancels a confirmed reservation within forty-eight (48) hours of the scheduled trip start, DRYVE247 may levy a cancellation charge of GH₵ 300 / USD $30, which may be debited from future earnings.
Frivolous Damage Claims: Submitting fraudulent, exaggerated, or pre-existing damage claims will result in immediate listing deactivation, account termination, forfeiture of accrued earnings, and referral to the Ghana Police Service for fraud under Act 29.
12 Independent Insurance Responsibilities
Host Primary Insurance: The Host must maintain at all times a valid Comprehensive Motor Insurance policy issued by an NIC-registered insurance company covering rental, commercial hire, or vehicle-sharing operations, as detailed in the Host Insurance Requirements (Document 10).
No Supplemental Platform Cover: DRYVE247 offers no primary, secondary, umbrella or reimbursement cover for users. The Host bears amounts waived under an accepted Damage Waiver and any loss not lawfully recoverable from another responsible person or payable under the Host's independent policy.
13. Privacy and Data Protection
The Host must treat all personal information of Renters (names, phone numbers, addresses, license details) with absolute confidentiality. The Host shall not use Renter data for any purpose other than facilitating the specific Trip, nor disclose Renter data to any third party, in compliance with the Data Protection Act, 2012 (Act 843).
14. Safety Obligations
Hosts are legally responsible under Section 76 of the Road Traffic Regulations, 2012 (L.I. 2180) for ensuring that any motor vehicle permitted onto a public road is completely mechanically sound. Releasing a vehicle known to possess defective brakes, steering failure, or unsafe tyres constitutes criminal negligence.
15. Reporting Obligations
Hosts must report any damage, accident, traffic fine, or late return to DRYVE247 within twenty-four (24) hours of the scheduled trip completion time. Damage reported after another Renter has initiated a subsequent trip will be rejected as non-verifiable.
16. Disputes
Disputes between Hosts and DRYVE247 concerning commission withholdings, damage determinations, or listing removals shall be resolved under the dispute mechanisms set out in Document 59, adhering to the Alternative Dispute Resolution Act, 2010 (Act 798).
17. Enforcement
DRYVE247 retains the full authority to withhold host payouts, offset debts against future earnings, freeze listing visibility, and take legal action to recover funds erroneously disbursed or owed due to host misrepresentations.
18. Suspension and Termination
DRYVE247 may immediately suspend or terminate this Agreement and remove all listings if the Host receives repeated substandard vehicle condition ratings, fails safety audits, engages in off-platform circumvention, or exhibits abusive behavior toward users or support agents.
19. Applicable Law
This Agreement is governed by the laws of the Republic of Ghana.
20. International Users
Non-resident Ghanaian citizens or foreign investors listing vehicles in Ghana submit to Ghanaian jurisdiction and agree that all local tax, road safety, and licensing mandates apply to their operations.
21. Amendments
DRYVE247 may update these terms upon fourteen (14) days’ notice. Continued hosting of vehicles past the effective date constitutes full acceptance.
22. Severability
If any provision is declared void by a court, the remainder shall continue in full force and effect.
